On October 23, 2020, CM Life Sciences, Inc. (the “Company”) issued a press release, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K, announcing that the holders of the Company’s units (the “Units”) may elect to separately trade the shares of Class A common stock, par value $0.0001 per share (“Class A Common Stock”), and warrants (the “Warrants”) included in the Units commencing on or about October 26, 2020. Each Unit consists of one share of Class A Common Stock and one-third of one redeemable Warrant to purchase one share of Class A Common Stock. Any Units not separated will continue to trade on The Nasdaq Capital Market (“Nasdaq”) under the symbol “CMLFU,” and the shares of Class A Common Stock and redeemable Warrants will separately trade on Nasdaq under the symbols “CMLF” and “CMLFW,” respectively. No fractional Warrants will be issued upon separation of the Units and only whole Warrants will trade.

 

Holders of Units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the Units into shares of Class A Common Stock and Warrants.

CM Life Sciences, Inc. Announces Separate Trading of its Shares of Class A Common Stock and Warrants, on or about October 26, 2020

October 23, 2020 – New York, NY – CM Life Sciences, Inc. (Nasdaq: CMLFU) (the “Company”) today announced that holders of the Company’s units sold in its initial public offering may elect to separately trade the shares of Class A common stock and redeemable warrants included in its units commencing on or about October 26, 2020.

The shares of Class A common stock and warrants that are separated will trade on The Nasdaq Capital Market (“Nasdaq”) under the symbols “CMLF” and “CMLFW,” respectively. Those units not separated will continue to trade on Nasdaq under the symbol “CMLFU.” No fractional warrants will be issued upon separation of the units and only whole warrants will trade.

Holders of the Company’s units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate such units into shares of Class A common stock and redeemable warrants.
